1. Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of iyaralabs.com (the “Site”), which is operated by Iyara Labs LLC, a limited liability company incorporated in the Sharjah Media City Free Zone, United Arab Emirates, under Trade Licence No. 2646487.01, whose registered address is Shams Business Center, Sharjah Media City Free Zone, Al Messaned, Sharjah, United Arab Emirates (“Iyara Labs LLC”, “we”, “us”, or “our”).
By accessing or using the Site in any manner, you agree to be bound by these Terms and by the Privacy Policy published at iyaralabs.com/privacy (the “Privacy Policy”), which is incorporated into these Terms by reference. If you do not agree to these Terms in their entirety, you must not access or use the Site.
These Terms apply to all visitors, users, and other persons who access or use the Site, regardless of their jurisdiction of residence.
2. Modifications to These Terms
We reserve the right to modify these Terms at any time at our sole discretion. Modifications will take effect upon posting to the Site with an updated “Last updated” date. We will provide reasonable notice of material modifications by posting a prominent notice on the Site. Your continued use of the Site following the posting of any modification constitutes your acceptance of the Terms as modified. If you do not accept a modification, you must cease using the Site.
3. Nature of the Site
The Site is an informational and marketing platform operated by Iyara Labs LLC, which provides artificial intelligence solutions and consulting services to businesses. The Site allows visitors to learn about our services, review case studies, and contact us to enquire about potential commercial engagements.
The Site does not offer e-commerce functionality, user registration, subscriptions, or any transactional services. Any engagement with Iyara Labs LLC for the provision of services will be governed exclusively by a separate written agreement executed between the parties. Nothing on this Site constitutes an offer capable of acceptance so as to form a binding contract for the provision of services.
4. No Professional Advice
All content on this Site is provided for general informational and marketing purposes only. Nothing on this Site constitutes, or should be construed as, professional, legal, financial, technical, regulatory, or commercial advice of any kind. You should not rely on any content on this Site as a substitute for advice from a qualified professional with knowledge of your particular circumstances.
Any statements on this Site regarding outcomes, performance, results, or capabilities of Iyara Labs LLC or its services are illustrative only and shall not be construed as representations or warranties of any kind. Past results and case studies described on this Site are not indicative of future outcomes and are provided for illustrative purposes only.
5. Intellectual Property
5.1 Ownership
All content on this Site, including without limitation text, graphics, logos, icons, images, case studies, data, and code, is the exclusive property of Iyara Labs LLC or its content suppliers and is protected by applicable copyright, trade mark, and other intellectual property laws of the United Arab Emirates and applicable international conventions.
5.2 Permitted use
You may access and view content on the Site for your own personal, non-commercial, informational purposes only. Save as expressly set out in these Terms, you may not, without our prior written consent, reproduce, distribute, modify, adapt, translate, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, or otherwise exploit any content from the Site.
The following limited exceptions apply:
(a) your device may temporarily cache copies of content in RAM incidental to your accessing and viewing such content;
(b) files automatically cached by your web browser for display enhancement purposes may be stored on your device; and
(c) you may print or download a single copy of a reasonable number of pages of the Site for your own personal, non-commercial use, provided that you do not modify those pages and retain all copyright and proprietary notices contained in them.
No right, title, or interest in or to the Site or any content on it is transferred to you by virtue of your access to or use of the Site.
5.3 Trade name and branding
“Iyara Labs LLC” and the Iyara Labs LLC logo are the trade name and branding of Iyara Labs LLC. You shall not use our trade name, logo, branding, or any confusingly similar mark in connection with any product, service, or communication without our prior written consent.
5.4 Infringement notices
To report alleged copyright infringement or any other intellectual property violation in connection with the Site, please contact legal@iyaralabs.com with the subject line “IP Notice”, identifying the work you claim has been infringed, the location of the allegedly infringing material on the Site, and your contact details.
6. Data Collection and Privacy
Your use of this Site is governed by the Privacy Policy, the terms of which are incorporated into these Terms by reference. By using the Site, you acknowledge that you have read and understood the Privacy Policy and accept the collection, use, and processing of your data as described therein.
7. Acceptable Use
7.1 General obligation
You agree to use the Site only for lawful purposes and in a manner consistent with these Terms and all applicable local, national, and international laws and regulations.
7.2 Prohibited conduct
You shall not use the Site to:
(a) violate any applicable law or regulation, including any data protection, privacy, or consumer protection law;
(b) transmit or procure the sending of any unsolicited or unauthorised advertising, promotional material, or spam of any kind;
(c) engage in scraping, crawling, data mining, screen harvesting, or any other automated extraction of data from the Site without our prior written consent;
(d) attempt to gain unauthorised access to any part of the Site, the server on which it is hosted, or any system, network, or database connected to it;
(e) transmit any material that is unlawful, defamatory, obscene, fraudulent, threatening, harassing, or otherwise harmful to any person;
(f) impersonate or misrepresent your affiliation with Iyara Labs LLC, any of its personnel, or any other person or entity;
(g) interfere with or disrupt the integrity, performance, or availability of the Site or any infrastructure underlying it;
(h) introduce any virus, trojan, worm, logic bomb, ransomware, spyware, or other malicious or technologically harmful code or material; or
(i) use the Site in any manner that could damage, disable, overburden, or impair it or interfere with any other user’s enjoyment of it.
7.3 Enforcement
We reserve the right to terminate or restrict your access to the Site at any time, without notice and without liability, if we have reasonable grounds to believe that you are in breach of this clause or any other provision of these Terms. We may also report any such breach to the relevant law enforcement or regulatory authorities.
8. Third-Party Links and Resources
The Site may contain links to third-party websites, platforms, or resources, including social media platforms. Such links are provided for convenience only and do not constitute an endorsement by Iyara Labs LLC of the content, products, services, or practices of any third-party website.
Iyara Labs LLC exercises no control over, and accepts no responsibility for, the content, privacy practices, terms and conditions, or availability of any third-party website. Your use of any third-party website is governed entirely by the terms of that third party. We shall have no liability of any kind arising out of or in connection with your access to or use of any third-party website linked from the Site.
9. Artificial Intelligence Content
Certain content on this Site may incorporate, or have been developed with the assistance of, artificial intelligence tools. All AI-assisted content is reviewed by members of the Iyara Labs LLC team prior to publication on the Site. Notwithstanding such review, AI-assisted content may contain errors, inaccuracies, or omissions, and you should not treat it as authoritative. You should independently verify any AI-assisted content before relying on it for any purpose.
10. Disclaimer of Warranties
10.1
The Site and all content, functionality, and information available through the Site are provided on an “as is” and “as available” basis, without any representation, warranty, or guarantee of any kind, whether express, implied, or statutory.
10.2
To the fullest extent permitted by applicable law, Iyara Labs LLC expressly disclaims all warranties and representations, including without limitation:
(a) any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement;
(b) any warranty that the Site will be available on an uninterrupted, timely, secure, or error-free basis or that defects will be corrected;
(c) any warranty as to the accuracy, reliability, completeness, timeliness, or suitability for any purpose of any content on the Site; and
(d) any warranty that the Site or the servers and systems that make it available are free from viruses, malicious code, or other harmful components.
10.3
Some jurisdictions do not permit the exclusion of certain implied warranties. To the extent that such exclusions are not permitted by applicable mandatory law in your jurisdiction, they shall apply only to the fullest extent permitted.
11. Limitation of Liability
11.1
To the maximum extent permitted by applicable law, Iyara Labs LLC and each of its directors, officers, employees, contractors, agents, licensors, and successors shall not be liable to you or any third party for any loss or damage of any kind, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, including without limitation:
(a) any loss of profits, revenue, business, contracts, anticipated savings, data, goodwill, or reputation;
(b) any indirect, incidental, special, consequential, exemplary, or punitive damages; or
(c) any loss or damage arising out of or in connection with your access to or use of, or your inability to access or use, the Site or any content obtained from it,
even if Iyara Labs LLC has been advised of the possibility of such loss or damage.
11.2
Without prejudice to clause 11.1, the aggregate liability of Iyara Labs LLC to you in respect of all claims arising out of or in connection with your use of the Site shall not in any event exceed AED 500 (five hundred UAE Dirhams).
11.3
Nothing in these Terms shall limit or exclude any liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, liability for fraud or fraudulent misrepresentation, or any other liability the exclusion of which is prohibited by mandatory applicable law.
11.4
The limitations and exclusions in this clause shall apply regardless of the basis of the claim and whether or not Iyara Labs LLC has been advised of or should have been aware of the possibility of any such loss or damage.
12. Indemnification
You agree to indemnify, defend, and hold harmless Iyara Labs LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:
(a) your access to or use of the Site;
(b) your breach of any provision of these Terms;
(c) your infringement of any intellectual property or other right of any third party; or
(d) your violation of any applicable law or regulation.
This indemnification obligation shall survive the termination or expiry of your access to the Site and shall not be subject to the limitation of liability in clause 11.2.
13. Governing Law and Dispute Resolution
13.1 Governing law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, Federal Law No. 5 of 1985 on Civil Transactions (as amended), and Federal Law No. 15 of 2020 on Consumer Protection, and the laws of the Emirate of Sharjah, without regard to any conflict of laws provisions.
13.2 Good faith negotiation
In the event of a dispute arising out of or in connection with these Terms, including any question as to their existence, validity, or termination, the parties shall first attempt to resolve the dispute by good faith negotiation for a period of 30 days following written notice from one party to the other identifying the nature of the dispute.
13.3 Jurisdiction
If the dispute is not resolved by negotiation within the period referred to in clause 13.2, it shall be submitted to, and resolved by, the courts of Sharjah, United Arab Emirates, which shall have exclusive jurisdiction over all such disputes.
13.4 Mandatory local rights
Nothing in this clause shall affect any mandatory jurisdictional rights you may have under the laws of your country of residence, including the right of residents of the European Union or the European Economic Area to bring proceedings before the competent courts of their home jurisdiction pursuant to applicable EU regulations, including EU Regulation No. 1215/2012 (Brussels I Recast).
14. General Provisions
14.1 Entire agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Iyara Labs LLC in relation to your use of the Site and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to such use.
14.2 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification or deletion of a provision shall not affect the validity and enforceability of the remaining provisions of these Terms.
14.3 Waiver
No failure or delay by Iyara Labs LLC in exercising any right or remedy under these Terms or at law shall constitute a waiver of that right or remedy. No waiver shall be effective unless given in writing. A waiver of any right or remedy in relation to a particular breach shall not operate as a waiver of that right or remedy in relation to any subsequent breach.
14.4 Assignment
You may not assign, transfer, sub-licence, or otherwise deal with any of your rights or obligations under these Terms without our prior written consent. Iyara Labs LLC may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets, provided that the assignee assumes all obligations under these Terms.
14.5 Force majeure
Iyara Labs LLC shall not be in breach of these Terms, nor liable for any failure or delay in the performance of its obligations, where such failure or delay results directly or indirectly from any cause or circumstance beyond its reasonable control, including without limitation failure or interruption of the internet or telecommunications networks, failure of third-party service providers or platforms, acts of God, natural disasters, pandemic or epidemic, war, terrorism, civil unrest, governmental action, sanctions, or changes in applicable law or regulation. Performance obligations shall resume as soon as reasonably practicable after the relevant cause or circumstance ceases.
14.6 No partnership or agency
Nothing in these Terms shall create, or be deemed to create, a partnership, joint venture, employment relationship, franchise, or agency between you and Iyara Labs LLC.
14.7 Third-party rights
These Terms do not confer any rights on any person who is not a party to them. No third party shall have any right to enforce any provision of these Terms under any applicable law providing for the enforcement of contractual terms by third parties.
14.8 Notices
Any notice given by you to us under these Terms must be in writing and sent by email to legal@iyaralabs.com. Notices from us to you will be posted on the Site or sent to any email address you have provided to us. A notice sent by email shall be deemed received at the time of transmission, provided no delivery failure notification is received by the sender.
